Terms of Service

1. Agreement to Terms

By creating an account, accessing, or using Machestra, you agree to be bound by these Terms, as well as any updates we publish. These Terms constitute a legally binding agreement between you and Machestra.

2. Eligibility

You must:

• Be at least 16 years old.
• Have the legal authority to bind your company if registering on behalf of a business.
• Only create one company account per legal entity.
• Comply with all applicable local, national, and international laws in your use of Machestra.
• Not access or use the Service in violation of applicable export control or economic sanctions laws.

The Service may not be used by individuals or entities located in countries subject to applicable sanctions or embargoes, or by individuals or entities listed on government restricted party lists.

3. Description of the Service

Machestra is a production scheduling platform for small and medium manufacturers (job shops, CNC, fabrication, woodworking, molding shops). It allows companies to manage machines, jobs, materials, operators, and schedules in a multi-tenant cloud environment.

Features include:

• Job scheduling with multi-step operations and state tracking (pending → scheduled → running → paused → blocked → completed → cancelled)
• Visual scheduling board with overlap detection
• Machine, material, and inventory management
• Analytics dashboards (basic or advanced)
• Notifications (in-app, email, push, weekly digest)
• CSV import/export, activity logging, user roles, and real-time updates

Machestra provides scheduling and operational management tools intended to assist manufacturers in organizing production activities.

Important: Machestra does not guarantee production outcomes, manufacturing efficiency, machine utilization, job completion times, or operational performance.

Customers remain solely responsible for reviewing schedules, verifying machine availability, confirming production plans, and managing their manufacturing operations.

4. Account Registration

• Accounts are registered at the company level.
• Users may be assigned roles: Admin, Manager, or Operator.
• Admins are responsible for account security, including passwords, user management, and promptly reporting unauthorized access.
• You are responsible for all activity under your account.
• You may not share accounts or login credentials with unauthorized parties.

5. Subscription Plans & Billing

Plans

• Annual billing may be offered in the future.
• Payments are processed via Paddle (Merchant of Record). Paddle handles tax calculation, currency conversion, and compliance.
• One-time $99 data import/onboarding service (free for early adopters). Machestra is not responsible for errors in customer-provided spreadsheets outside of the one revision round.
• Pricing may be PPP-adjusted per country; applicable taxes may apply.

Billing Terms

• Subscriptions automatically renew monthly.
• You may cancel anytime; cancellation is effective at the end of the current billing period.
• Upgrades/downgrades are prorated.
• All payments come with a 14-day money-back guarantee. You may request a full refund within 14 days of any payment by contacting support@machestra.com.
• Failed payments or non-payment may result in suspension or termination.
• Machestra may change pricing with 30 days' notice via email.

6. Free Plan

• No credit card is required.
• Subject to the same Terms.
• Machestra reserves the right to modify free plan limitations.

9. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble Machestra.
• Scrape, crawl, or automate data extraction.
• Access other tenants' data or bypass multi-tenant isolation.
• Upload malware or malicious code.
• Spam notifications or abuse the system.
• Use Machestra for illegal purposes.
• Circumvent rate limits or security measures.
• Resell, sublicense, or white-label without written permission.
• Impersonate other users or companies.
• Deliberately overload or stress-test the service.

Violation may result in immediate termination.

10. Data Portability

• CSV export is available on all plans at any time.
• No vendor lock-in.
• Data will not be deleted during active billing periods without prior notice.
• Customers are responsible for securely storing exported data.

11. Data Retention

• Free Plan: 6 months
• Starter: 2 years
• Growth: 10 years
• After retention, data is permanently deleted.
• Upon account closure, all data is deleted within 30 days unless exported first.
• Customers will be notified at least 14 days prior to deletion due to retention expiration.

12. Multi-Tenancy and Data Isolation

• Each company's data is isolated by companyId at the database layer.
• No cross-tenant access is possible.

13. Intellectual Property

• Machestra owns all platform, software, branding, and documentation rights.
• You own your data and content.
• You grant Machestra a limited license to process your data solely to provide the service.

14. Privacy

We collect and process personal data per our Privacy Policy.

15. Cookies

Essential cookies are used as described in our Cookie Policy.

16. Third-Party Services

• Machestra relies on third-party infrastructure (Render, Cloudflare, MongoDB Atlas, Redis, Resend, Paddle, Google OAuth).
• We are not liable for delays, outages, or errors caused by third-party services.

17. Modifications to the Service

• Features may be added, modified, or removed at any time.
• Beta or early access features may be unstable and are not covered by liability guarantees.
• Material changes communicated via email or in-app notification at least 30 days in advance.

18. Suspension and Termination

Suspension:

Machestra may temporarily suspend your access to the Service, in whole or in part, if:

• You are in breach of these Terms or the Acceptable Use policy.
• Your account has an overdue payment.
• We are investigating suspected fraud, abuse, or security concerns related to your account.
• Continued access poses a risk to the Service, other customers, or third parties.

We will make reasonable efforts to notify you before or promptly after suspension, and to restore access once the issue is resolved. During suspension, your data remains stored but inaccessible.

Termination by User:

• Cancel anytime via account settings; effective end of billing period.
• Export data before cancellation.

Termination by Machestra:

• For Terms violation, non-payment, fraud, or at our discretion with 30 days' notice.
• Machestra may, but is not obligated to, provide a window for data export following termination. We recommend exporting your data regularly.

19. Limitation of Liability

• Our total liability is capped at the amount paid in the 12 months preceding the claim.
• Not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost contracts, lost data, business interruption, or manufacturing delays.

20. Disclaimer of Warranties

Service provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

21. Indemnification

You agree to indemnify Machestra against claims arising from:

• Your violation of these Terms
• Your use of the service
• Your data
• Your violation of any third-party rights

22. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in Wilmington, Delaware.

Fees: Each party shall bear its own attorneys' fees and costs. AAA filing and administration fees shall be shared equally, except that Machestra will cover the full filing fee for claims under $10,000.

Class Action Waiver: All disputes must be brought in an individual capacity, not as a plaintiff or class member in any class or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class action.

Small Claims Exception: Either party may bring an individual action in small claims court in lieu of arbitration, provided the claim falls within the court's jurisdictional limits.

23. Severability

If any provision is unenforceable, the rest remain in effect.

24. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Security Policy (each incorporated herein by reference), constitute the entire agreement between you and Machestra, superseding all prior agreements.

25. Assignment

• Machestra may assign in connection with merger/acquisition.
• You may not assign these Terms.

26. Waiver

Failure to enforce a provision does not constitute a waiver.

27. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, acts of government, third-party outages, or pandemics.

28. Changes to Terms

• Terms may be updated; material changes notified via email at least 30 days in advance.
• Continued use after changes constitutes acceptance.
